Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of a corporate entity ("Client", "you", or "your"), and Valipod Technologies ("Valipod", "Authepy", "we", "us", or "our"). These Terms govern your access to and use of the Authepy API, edge infrastructure, developer dashboard, widgets, and associated documentation (collectively, the "Services").

By registering an account, generating an API key, or transmitting data to our endpoints, you expressly acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you must immediately cease all use of the Services.

2. API License and Access Restrictions

Subject to your continuous compliance with these Terms and payment of applicable fees, Valipod Technologies grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Authepy API to verify the identity of your end-users.

You expressly agree that you shall not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
• Resell, wholesale, sublicense, or white-label the API or Services to third parties without a formalized, written commercial partnership agreement.
• Attempt to bypass, disable, or tamper with the rate-limiting, volumetric quotas, or Edge Threat Defense routing protocols established by Authepy.

3. Acceptable Use Policy (AUP)

The Services are engineered strictly for transactional identity verification. You agree that your use of the Services will not violate any applicable local, national, or international laws, including but not limited to the CAN-SPAM Act, the GDPR, or the CCPA.

You are strictly prohibited from utilizing the Services to:

• Dispatch unsolicited communications, marketing newsletters, cold-sales campaigns, or spam.
• Facilitate phishing attacks, social engineering, or the distribution of malicious payloads.
• Verify users for illegal marketplaces, explicit content distribution lacking legal age-gating, or entities promoting hate speech or violence.

We reserve the right to deploy automated payload analysis. Detection of AUP violations will result in the immediate, irreversible revocation of your API keys without refund.

4. Billing, Subscriptions, and Compute Quotas

Certain tiers of the Services require payment. By selecting a paid tier, you authorize our third-party payment processor (Stripe) to charge your provided payment method for the volumetric compute, storage, and dispatch fees accrued.

• Non-Refundable: All charges are fully earned upon payment and are non-refundable. We do not provide refunds or credits for partial months of service or unused volumetric quotas.
• Overage and Throttling: If your API request volume exceeds your subscribed tier limits, Authepy reserves the right to dynamically throttle (HTTP 429) or hard-reject (HTTP 402) incoming requests until the billing cycle resets or the account is upgraded.
• Taxes: You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities associated with your purchases.

5. Data Privacy and Security

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the processing of data as described therein.

For the purposes of European privacy laws (GDPR) and California privacy laws (CCPA), Valipod Technologies acts exclusively as a Data Processor/Service Provider regarding end-user data submitted to our endpoints. You, the Client, act as the Data Controller. You represent and warrant that you have obtained all necessary consents and legal bases required to transmit end-user data to Authepy for processing.

6. Intellectual Property

Valipod Technologies retains all right, title, and interest (including all copyright, trademark, patent, trade secrets, and other intellectual property rights) in and to the Services, the API, the underlying edge routing engine, and any derivative works or enhancements thereof. Your use of the Services does not grant you any ownership rights.

7. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for immediate termination include, but are not limited to, non-payment of fees, violation of the AUP (Section 3), or behavior that threatens the stability or security of our infrastructure network. Upon termination, your API keys will be revoked, and all active verification payloads will be discarded.

8. Warranties and Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIPOD TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PERFECTLY SECURE. FURTHERMORE, WE EXPRESSLY DISCLAIM ANY LIABILITY FOR DELIVERY FAILURES, LATENCY, OR OUTAGES CAUSED BY THIRD-PARTY TELECOMMUNICATION NETWORKS, CLOUD INFRASTRUCTURE PROVIDERS (E.G., AWS, POSTMARK), OR GLOBAL INTERNET SERVICE PROVIDERS.

9. Limitation of Liability

IN NO EVENT SHALL VALIPOD TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR ENTIRE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF: (A) THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD STRICTLY PRIOR TO ANY CAUSE OF ACTION ARISING, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Valipod Technologies, our affiliates, and our respective officers, directors, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Terms; (3) your violation of the rights of a third party, including intellectual property or privacy rights; or (4) any data or content you transmit through the API.

11. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with your use of the Services, shall be governed by and construed exclusively in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Exclusive Jurisdiction: Any legal action, dispute, or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of competent jurisdiction located in Pune, Maharashtra, India. You hereby irrevocably consent to the personal jurisdiction of such courts and explicitly waive any defense of an inconvenient forum (forum non conveniens).

Class Action Waiver: YOU AND VALIPOD TECHNOLOGIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
